1. Services
validsourcing is operated by Justin Liu, an independent sourcing agent based in Yiwu, China. Services may include product sourcing, supplier verification, market visits, item-by-item quality inspection, warehousing, order consolidation, and logistics coordination. The exact scope of work is confirmed for each order by email, WhatsApp, quotation, or another written agreement.
2. Role of validsourcing
validsourcing acts as an independent sourcing agent and service coordinator. It is not the manufacturer, seller, freight carrier, customs authority, or insurer of the products you order. Product ownership, manufacturing obligations, product warranties, refunds, and compensation remain the responsibility of the relevant supplier or other responsible third party unless a different arrangement is expressly agreed in writing.
3. Quotes and Pricing
Product prices, service fees, inspection requirements, and other costs are confirmed before work begins. Supplier prices, exchange rates, freight charges, duties, and other third-party costs may change. Any material change will be communicated for your approval before proceeding whenever reasonably possible.
4. Payments
Payment amounts, timing, currency, and payment method are agreed separately for each order. Work, purchasing, production, inspection, storage, or shipment may be delayed or suspended until required payments are received.
5. Item-by-Item Inspection
Justin personally inspects every item before shipment according to the inspection criteria agreed with you. Unless otherwise agreed, the inspection may cover appearance, quantity, dimensions, color, packaging, and basic function. Photos, measurements, or other findings may be provided as part of the inspection report.
6. Non-Conforming Products
If inspected products do not meet the agreed criteria, the affected items will be held and will not be approved for shipment. Justin will coordinate with the supplier to request rework or replacement and will recheck the affected items before shipment. validsourcing does not independently provide product refunds, financial guarantees, compensation, or manufacturer warranties. Any refund, compensation, warranty claim, or other financial remedy must be agreed with and provided by the supplier or other responsible party.
7. Inspection Limitations
Inspection is limited to the criteria, methods, and product access agreed for the order. Basic function checks are not laboratory testing, certification, destructive testing, or a guarantee against hidden defects unless those services are separately agreed. validsourcing will perform the agreed inspection with reasonable care but cannot guarantee that every latent, technical, or future defect will be detected.
8. Samples and Specifications
Sample costs, shipping, and refundability, if any, are confirmed before samples are ordered. Your approval of a sample, specification sheet, packaging design, color reference, or inspection checklist becomes the reference for production and inspection.
9. Shipping and Freight Forwarders
International shipping is arranged through independent freight-forwarding or carrier partners. Justin may help compare options, coordinate factory pickup, documents, and shipment updates, but does not control carrier operations, customs decisions, weather, port congestion, or final delivery performance. Delivery times are estimates and are not guaranteed.
10. Customs, Duties, and Compliance
You are responsible for confirming that the products comply with the laws, labeling rules, safety standards, certifications, import restrictions, duties, and taxes of the destination country. Assistance may be provided with documents or supplier communication, but final import and compliance responsibility remains with you.
11. Intellectual Property
validsourcing will not knowingly arrange unauthorized copies of registered trademarks, copyrighted designs, or other protected intellectual property. For OEM, private-label, or customized orders, you confirm that you have the right to use the branding, artwork, designs, and specifications you provide.
12. Limitation of Liability
To the maximum extent permitted by applicable law, validsourcing’s total liability for a claim arising directly from its sourcing services is limited to the service fees actually paid for the specific order concerned. validsourcing is not liable for indirect, incidental, special, or consequential losses, including lost profits, loss of business, or losses caused by suppliers, manufacturers, carriers, customs authorities, or other third parties.
13. Force Majeure
Neither party is responsible for delays or failures caused by events beyond reasonable control, including natural disasters, epidemics, government actions, strikes, power failures, customs delays, port congestion, or carrier disruption.
14. Governing Law and Disputes
These terms are governed by the laws of the People’s Republic of China. The parties should first attempt to resolve disputes through good-faith negotiation. If negotiation fails, the dispute may be submitted to a competent court in Yiwu, Zhejiang, China.
15. Changes to These Terms
These terms may be updated from time to time. The latest published version applies to new orders unless a separate written agreement states otherwise.
